Terms & Conditions

1. Introduction:
These Terms & Conditions govern all client engagements with Healey Hospo Consulting. By engaging our services, you agree to these terms.

 

2. Services:
Healey Hospo Consulting offers consulting services in hospitality operations, business management, brand & marketing development, and sales strategy to execution.

 

3. Engagement Agreement:

  • Each engagement will be outlined in a written agreement detailing the scope, fees, duration, and deliverables.

  • Any changes to the engagement must be agreed upon in writing by both parties.
     

4. Payment Terms:

  • Fees will be specified in the engagement agreement.

  • Invoices are issued monthly and payable within 7 days.

  • Late payments may incur a 5% late fee for each month overdue.
     

5. Confidentiality:

  • Both parties agree to keep all shared information confidential.

  • Confidentiality extends beyond the termination of the engagement.

  • Client information will not be disclosed without prior consent.
     

6. Intellectual Property:

  • All materials and strategies developed by Healey Hospo Consulting are our intellectual property.

  • Clients receive a non-exclusive license to use the materials for their internal business purposes.

  • Clients may not share, sell, or distribute our materials without written permission.
     

7. Client Responsibilities:

  • Provide accurate and timely information.

  • Participate actively in the consulting process.

  • Implement agreed-upon strategies and recommendations.
     

8. Liability:

  • Healey Hospo Consulting is not liable for indirect, incidental, or consequential damages.

  • Our total liability is limited to the fees paid by the client for the specific engagement.
     

9. Termination:

  • Either party may terminate the engagement with a 7-day written notice.

  • Fees for services rendered up to the termination date are non-refundable.

  • If the client terminates the engagement, any outstanding fees for completed work are due immediately.
     

10. Rescheduling and Cancellations:

  • Sessions can be rescheduled with at least 48-hour notice.

  • Missed sessions without prior notice will not be refunded or rescheduled.
     

11. Dispute Resolution:

  • Any disputes will be resolved through mediation in Adelaide, South Australia.

  • If mediation fails, disputes will be settled through arbitration according to the rules of the Australian Commercial Disputes Centre.
     

12. Governing Law:

  • This agreement is governed by the laws of South Australia.

  • Any legal proceedings will be conducted in South Australia.
     

13. Force Majeure:

  • Healey Hospo Consulting is not liable for any failure to perform due to circumstances beyond our control, including natural disasters, acts of war, or government regulations.
     

14. Amendments:

  • Healey Hospo Consulting reserves the right to amend these Terms & Conditions.

  • Clients will be notified in writing of any changes.

  • Continued use of our services constitutes acceptance of the revised terms.
     

15. Entire Agreement:

  • These Terms & Conditions, along with the engagement agreement, constitute the entire agreement between the client and Healey Hospo Consulting.

  • No other agreements, representations, or warranties are implied or stated unless explicitly included in this agreement.
     

By engaging with Healey Hospo Consulting, you acknowledge and agree to these Terms & Conditions.
